Terms of Service - Business Marketplace

1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the Royal Management business marketplace at royalmanagement.com.au (the “Platform”), operated by Royal Management Consultants Pty Ltd (“Royal Management”, “we”, “us”, or “our”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. About the Platform

Royal Management provides an online marketplace that connects business brokers with prospective buyers. We facilitate the listing of businesses for sale and enable buyers to browse and enquire about listed businesses across Australia.

Important: Royal Management is a platform provider only. We do not buy, sell, or broker businesses ourselves. We do not guarantee the accuracy of listing information, the suitability of any business, or the outcome of any transaction.

3. User Accounts

Registration

To access certain features (such as listing a business or saving favourites), you must create an account. You agree to:

Provide accurate, current, and complete registration information.
Keep your login credentials secure and confidential.
Notify us immediately of any unauthorised use of your account.
Accept responsibility for all activity that occurs under your account.

Account types

Buyers/visitors: may browse listings, submit enquiries, and save listings.
Brokers: may register to list businesses for sale, subject to verification and approval by Royal Management.

4. Broker Obligations

If you register as a broker on the Platform, you agree to:

Hold all required licences and registrations to operate as a business broker in your state or territory.
Provide accurate, truthful, and not misleading information in all listings.
Respond to buyer enquiries in a timely and professional manner.
Comply with all applicable Australian laws, including the Australian Consumer Law, Corporations Act 2001, and relevant state/territory business broking legislation.
Not engage in any fraudulent, deceptive, or misleading conduct.
Maintain the confidentiality of buyer information received through enquiries.

Royal Management reserves the right to suspend or remove any broker account or listing that breaches these obligations, without notice.

5. Listing Content

When creating a listing, you are solely responsible for all content you submit, including text, images, financial data, and other materials. You represent and warrant that:

You have the right to list the business and share the information provided.
All information is accurate and not misleading.
The content does not infringe any third party’s intellectual property, privacy, or other rights.
The content complies with all applicable laws and regulations.

Royal Management reserves the right to review, edit, or remove any listing at our sole discretion.

6. Enquiries and Communications

When a buyer submits an enquiry through the Platform, their contact information is shared with the relevant broker. By submitting an enquiry, buyers consent to being contacted by the broker regarding the listed business.

All communications facilitated through the Platform must be conducted in a professional, lawful, and respectful manner. Spam, harassment, and unsolicited marketing are strictly prohibited.

7. Prohibited Conduct

You must not:

Use the Platform for any unlawful purpose.
Submit false, misleading, or fraudulent information.
Attempt to gain unauthorised access to the Platform or other user accounts.
Scrape, harvest, or collect data from the Platform without our written consent.
Interfere with or disrupt the Platform or its infrastructure.
Impersonate another person or entity.
Upload malicious code, viruses, or other harmful material.

8. Intellectual Property

All content, trademarks, logos, and design elements on the Platform are the property of Royal Management or its licensors. You may not reproduce, distribute, or create derivative works from our content without our prior written consent.

By submitting a listing, you grant Royal Management a non-exclusive, royalty-free licence to display, distribute, and promote the listing content on the Platform and related marketing channels.

9. Fees and Payments

Browsing and submitting enquiries on the Platform is free. Broker listing fees and any premium features may apply and will be clearly communicated before any charges are incurred. Payment terms will be specified at the time of purchase.

10. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Royal Management disclaims all warranties, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

The Platform will be uninterrupted, secure, or error-free.
Any listing information is accurate, complete, or current.
Any business transaction facilitated through the Platform will be successful or satisfactory.

11. Limitation of Liability

To the maximum extent permitted by Australian law (including the Australian Consumer Law), Royal Management shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to:

Loss of profits, revenue, data, or business opportunities.
Any transaction or dealing between buyers and brokers.
Reliance on information provided in listings.
Unauthorised access to or alteration of your data.

Nothing in these Terms excludes or limits any rights you may have under the Australian Consumer Law that cannot be excluded or limited by law.

12. Indemnification

You agree to indemnify and hold harmless Royal Management, its directors, officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Platform, your breach of these Terms, or your violation of any law or third-party rights.

13. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will continue to apply.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. You submit to the exclusive jurisdiction of the courts of New South Wales for the resolution of any disputes arising under these Terms.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date below and may notify you via the Platform or email. Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
